### WHO ARE WE? SMEgo is proudly brought to you by the Old Mutual Corporate Ventures Proprietary Limited (“**OMCV/we/us**”). We are part of Old Mutual Limited (“the Old Mutual Group”). Through the platform, we give access to services that are provided directly by OMCV and/or other companies within the Old Mutual Group. In this document we refer to the other companies in the Old Mutual Group as “internal partners”. We also provide access to services that are provided by trusted business partners that are not part of the Old Mutual Group. In this document we refer to them as “external parties”. ### WHAT IS THE SMEgo PLATFORM ALL ABOUT? SMEgo is an online platform available on both Website and Mobile Application channels, which is designed specifically to help SMEs to achieve business success. Its aim is to enable SMEs to run essential functions within their businesses and grow their profitability through a holistic SME proposition. The online platform provides access to solutions that helps SMEs with financial decision making, reducing admin time, and increasing their customer base. It also gives SMEs access to other services such as business financing and loans, provided by external parties. ### GENERAL TERMS AND CONDITIONS OF SMEgo MOBILE APPLICATION USAGE "Application" or “SMEgo App” means the mobile application software and associated media, which includes the Applets, made available by Old Mutual to users under these Terms for communicating data, text, audio and video, with compatible mobile devices and for receiving advertisements, incentives and other material using the Software developed and managed by Old Mutual. These Terms are a legally binding agreement between you and Old Mutual. This Agreement is for your use of the Application, and the Software managed by Old Mutual. Old Mutual licences the use of the Application to you on the basis of these Terms and Your use of this Application is also subject to any terms and conditions set by any application store provider or operator ("App store Rules") from whose website you downloaded the Application ("App store"). We do not sell the Application to you under these Terms and We remain the owner of the Application at all times. This Application requires a compatible smartphone or tablet computer ("Device") that enables Internet access and compatible operating systems, such as iOS and Android. If the Device does not belong to you, by accepting these Terms or downloading, installing or using the Application, you confirm that you have obtained permission from the owner of the Device to install a copy of the Application onto the Device and to use such Application. This Application is not targeted at minors or unauthorised persons. We encourage users to strictly control access to their devices. We do not accept liability for and loss or damage as a result of the unauthorised use of the Application. You will be solely responsible for installation of the Application on your device. You must ensure that you always have the latest version of the Application installed on your device. If you experience problems with connectivity to the Application, please liaise with the mobile network operator prior to contacting Us. You must also report any problems encountered during the use of the Application, such as “software bugs” or any other system failure to our Service Centre immediately, by contacting us at [smego@oldmutual.com](mailto:smego@oldmutual.com) or calling Landline: 021 137 6078. ### DATA CONSUMPTION The Application uses the data channel (GPRS) of your device to communicate. Although usage is low, you must be aware that data will be consumed from your airtime. It is highly recommended that a data bundle is purchased with your Network Mobile Operator in order to save on data costs. Data is consumed by performing the following actions (but not limited to): authentication, application start-up, text messaging,sending/receiving pictures, sending/receiving locations, accessing content, group communication (text, picture, location), updating of profile information, viewing profile information, accessing external content via your mobile device's Internet Browser, viewing advertisements, and contact synchronisation. You should note that when roaming, you may be subject to higher data pricing. It is a your responsibility to check with their mobile network carrier for detailed data pricing. Although the Application is intended to be used within the Republic of South Africa and internationally (any foreign location), Old Mutual can cannot guarantee that it will not be blocked from being used for whatever reason in individual states or countries. The free flow and use of data may be not permitted in all countries. Old mutual complies with the POPI Act, however, the privacy of personal information is not always protected or guaranteed in foreign locations. This must be remembered,and care must therefore be taken when using the Application in certain foreign locations. ### WHAT ARE THE FEATURES THAT WE PROVIDE? The features that we offer through the platform are to help you run and grow your business, specifically: ### INVOICING FEATURE The SMEgo Invoicing feature provides users with the ability to create their own personalized invoices on the application. Invoices can be saved, edited, downloaded from the application, or sent directly from the application to customers of the SME user. Users must understand and accept that they will be using the invoicing feature at their own risk. Old Mutual cannot be held liable for any damage caused to any party as a result of: • incorrect or misleading information placed on an invoice • the loss of stored invoices or information of users or their customers from the application or • the failure for whatever reason of an invoice successfully being received by or communicated to any party. The user remains fully responsible for ensuring that any invoice contains the correct information about the user, the date of the invoice, the customer (debtor), amount/s due to the user, description of the services rendered or goods sold, the terms of payment and any other information required to ensure that the invoice rendered by the tool is a legally valid and enforceable invoice. Users are advised to keep their own record of all invoices created through the application, as a backup in case of loss of data or unavailability of the online invoicing feature for whatever reason. ### FUNDING FEATURE Users will also have the ability to consider and apply for funding from a variety of funders. We receive a fee from any funder that enters into a funding or loan agreement as a result of the use of this feature. The feature will allow you to capture your funding requirements (funding need and amount), personal and business information, and upload relevant business documents for submission to the funder(s). Based on your funding requirements, we will display all the funding solutions and funders for your consideration. You may then select which funders to submit your application to. It is your responsibility to ensure that the information that you provide us at any stage of the process is true and correct. To obtain funding from any funder, the user will be required to accept the terms and conditions of the funder and provide any further information that such funder may require of you. Any funding or loan agreement that might come into being between a user and a funder will represent a separate agreement between the user and funder. We are not a party to that agreement and cannot dictate the terms that applies to that agreement. Please read the SOME SERVICES ARE PROVIDED BY EXTERNAL PARTIES clause below. We do not accept liability for any damages that you may incur as a result of making use of such services. ### ACCEPT ONLINE AND CONTACTLESS CARD PAYMENTS FEATURES The features to receive online and contactless card payments is provided not by Old Mutual, but by external third parties (i.e., payment partners). Please read the SOME SERVICES ARE PROVIDED BY EXTERNAL PARTIES clause below. We do not accept liability for any damages that you may incur as a result of making use of such services. To be able to receive online payments in respect of invoices, users are required to register online and be verified as a payment merchant on the payment services portal provided by the external parties. Users are required to capture their payment and bank account details and upload relevant KYC (Know Your Client) documents on SMEgo which is then shared with an external party for the purposes of vetting and on-boarding the user and the user’s business. Users are required to read and accept the external party’s Terms & Conditions before submitting an application. To be able to receive contactless card payments on a mobile phone, users are required to register in SMEgo and be verified as a payment merchant by external parties. Users are required to capture their business and bank account details and upload relevant KYC (Know Your Client) documents on SMEgo, which is then shared with an external party for the purposes of vetting and on-boarding the user and the user’s business. Users are required to read and accept the external party’s Terms & Conditions before submitting an application. Transaction fees will be payable by the user in both instances, but this will be disclosed when signing up for the feature. ### CREDIT SCORING FEATURE SMEgo is not in the business of a Credit Bureau. However, one of our features is to send the user’s Legal Registered Company Name and Company Registration Number to an external party, who is a registered Credit Bureau. The external party conducts the credit checks and returns the business credit score and indicative loan amount, which are then displayed on SMEgo for the user’s convenience. The SMEgo platform only provides clients with simple access to the Credit Bureau’s services. ### FINANCIAL DOCUMENTS RETRIEVAL FEATURE: By utilising the SMEgo platform to access Sage Accounting, users acknowledge and agree to the following terms: 1. Third-Party Integration:\ a. SMEgo facilitates the integration with Sage Accounting for the purpose of retrieving financial documents only. Users understand that this involves accessing and transferring data from Sage. 2. Data Accuracy:\ a. While efforts are made to ensure the accuracy of retrieved financial documents, SMEgo and Sage do not guarantee the correctness, completeness, or timeliness of the data. Users are encouraged to verify information independently. 3. Use for Funding Applications:\ a. The integrated financial documents are intended to be attached to funding applications/platforms within SMEgo. Users are responsible for ensuring the appropriateness and relevance of the attached documents for their specific funding needs. 4. Transmission to Funders:\ a. Once attached to a funding application, the compiled documents, including financial information, will be transmitted to the user's selected funder. Users understand and accept the transmission of this information to facilitate the funding application process. 5. Security Measures:\ a. SMEgo implements reasonable security measures to protect user data during the integration process. However, users are encouraged to take appropriate measures on their end to safeguard sensitive information. 6. No Liability for Third-Party Actions:\ a. SMEgo and Sage disclaim liability for any actions or consequences arising from the use of third-party funders. Users understand that the selected funder is a separate entity, and any interactions with them are governed by the terms and policies of that entity. ### THE PREMIUM PLANS: ### PREMIUM, PREMIUM PLUS and SHOPRITE PREMIUM Plans Users that subscribe to the Premium, Premium Plus or Shoprite Premium Plans are provided with access to the additional features specified within the plan(s). The Premium Plans add additional functionality to the free Features mentioned above. The Premium Plans provide Premium users with access to an additional set of features at a specified monthly fee. These features are detailed to the user at the time of subscribing and may change from time to time. A monthly or annual subscription fee will be payable to access the specified features of each of the Premium Plans. Payment can be made online by selecting the plan of choice on the Subscriptions page and following the prompts to capture your card payment details. We reserve the right to increase the fee by giving 30 days’ written notice. This can be in the form of email, SMS or other form of electronic communication. Old Mutual does not accept any liability for losses occurred as a result of the incorrect capturing of such information. Payment of our subscription fee is to be made every month in advance and access to the service will terminate immediately if no payment is received. Premium users can request that the service be reinstated upon payment of the monthly subscription. Subscription fees will be deducted from the user’s account on a monthly basis on the billing date specified. Premium users may request to update their card details by contacting SMEgo Support Centre at [smego@oldmutual.com](mailto:smego@oldmutual.com); or calling 067 718 5598 or Landline: 021 137 6078. Premium users may cancel their subscription by accessing the Manage Subscription option under the Settings menu. ### SOME SERVICES ARE PROVIDED BY INTERNAL AND EXTERNAL PARTIES Where the services are provided not by OMCV but by internal and external business partners, you may be given access directly to the website and/or digital channel of that company. An example of such a service is the Funding Feature and many of the additional features that are made available under the Premium Plans. By using such a feature and/or service or accessing such website or digital portal, you will be required to accept the Terms and Conditions of the relevant external service providers. Although the services are made available to you through the convenience of the SMEgo platform, you will be contracting and dealing directly with that company and not with us. ### LIABILITY FOR DAMAGES (INTERNAL AND EXTERNAL PARTIES) Although we choose our business partners very carefully, we cannot control the way they conduct their businesses and we cannot therefore accept liability for any damages that you may suffer as a result of using their services. ### USING THE SMEgo ONLINE PLATFORM When you use the platform for the first time, you will be required to register and create a profile. To register you will have to provide us with information about your business (and your personal information) and you must create a password. You will be required to verify your email address and password by capturing the One Time PIN (OTP) sent to you. After that, and every time you use the platform, you will be required to log in securely. This helps us to know that we are dealing with you in confidentiality and that your information is safe. You must keep your log in details and password confidential. This will prevent any unauthorised access to your personal details.You must also make sure that you update your and your business’ information if any aspect of it changes. It will assist us to make sure that we always have your latest (and correct) information on record. If you would like to close your account, please access the Manage Profile option under the Settings menu. You will need to specify a reason for closing your account. Once your profile is closed, you will be unable to login and lose access to all SMEgo transaction information and history. This material includes, but is not limited to, the design, layout, look, logos, and graphics. You are authorized to view and download, print and make copies of such printouts provided that you use the material for personal and non – commercial purposes only. You may copy the content to individual third parties for their personal use, but only if you acknowledge this website or mobile application as the source of the information and /or materials. You may not without Old Mutual’s expressed written consent distribute or commercially exploit the content. ### SERVICE MAINTENANCE AND AVAILABILITY Old Mutual relies on the online services of external parties in bringing the SMEgo services to you. We reserve the right to suspend the services at any point if the services provided by the external parties are stopped or interrupted for any reason. We may also suspend the services and restrict access to the entire platform or any part thereof, without prior notice to you in order to update or maintain the SMEgo services. ### SUSPENSION AND/OR TERMINATION OF SERVICES We are entitled, without prejudice to any other rights we may have, to suspend and/or terminate the provision of the services to you: • If you are in breach of any of the terms of these Terms and Conditions or the Privacy Notice, and/or any other of our policies applicable to your use of the services; • Immediately if we have reason to believe that your use of the online platform or any of the services is fraudulent or negatively impacting the operating capability of the services; • Immediately if we are notified of or suspect unauthorized access or use of your account or have another security concern, to assess and contain the situation; • Immediately if we determine, in our sole discretion, that providing the services is prohibited by law; • On 30 (thirty) days written notice to you, if we determine in our sole discretion that it has become impractical or unfeasible for any legal or regulatory reason to continue to provide the services. ### PERMISSION FOR HYPERLINKS, DEEP LINKING, CRAWLERS AND METATAGS Nobody may establish a hyperlink, frame, metatag or similar reference, whether electronically or otherwise (collectively referred to as linking), to this online platform or any subsidiary pages before receiving our prior written approval, which may be withheld or granted subject to the conditions we specify from time to time. Breach of these conditions entitles us to take legal action without prior notice to you and you agree to reimburse the costs associated with such legal action to us on an attorney and own client scale. ### COOKIES “Cookies” are pieces of information a website transfers to a user’s hard drive or Device for record-keeping purposes. Cookies make surfing the web easier by users by saving user's preferences and, tracking user's online habits, traffic patterns and making sure users do not see the same advertisement too often. The use of cookies is an industry standard. Old Mutual may place a "cookie" on your browser to store and sometimes track information about you. Importantly, while most browsers are initially set up to accept cookies You can reset your browser to refuse all cookies or indicate when a cookie is being sent. By your ongoing use of the SMEgo platform or any of the services provided by it, you will be regarded as having agreed to all changes. You are advised to check the Terms and Conditions from time to time to ensure that you are aware of any changes.
